These Terms of Sale ("Agreement") govern the purchase of "The Concierge" premium travel management service from Chic Trip. By completing your purchase, you ("Client" or "you") agree to these terms.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM PURCHASING THE SERVICES AND YOU MUST NOT PROCEED WITH PAYMENT.

Chic Trip maintains professional liability insurance ("RC Pro") with Hiscox Assurances, policy n° HSXIN320079059A, valid from 27/02/2026 (annually renewable by tacit reconduction), covering travel consulting and coordination activities up to 1 500 000 per claim.

1. SERVICE DESCRIPTION & AGENT APPOINTMENT

The Concierge is a premium travel management service where you appoint Chic Trip as your lead procurement agent and coordinator for your Paris travel arrangements. This mandate authorizes Chic Trip to act in your name and on your behalf to secure travel services.

1.1 What The Concierge Includes

Upon payment, Chic Trip shall provide the following services:

·       Customized Itinerary Planning: A comprehensive day-by-day Paris itinerary tailored to your preferences, interests, budget, and travel style

·       Digital Pocket Companion: Access to the Chic Trip proprietary app containing curated recommendations, maps, logistics, and your personalized itinerary

·       Lead Procurement Agent Services: Chic Trip acts as your primary coordinator to source and execute all travel bookings on your behalf using the Disbursement Mandate model (see Section 2)

·       Professional Booking Management: Research, negotiation, and execution of reservations for:

o   Hotels and accommodations

o   Train tickets and transportation

o   Restaurant reservations

o   Activity and attraction bookings

o   Any other services you approve

·       Dedicated Support: Access to the Chic Trip team during standard French business hours (9:00 AM – 6:00 PM CET, Monday-Friday) for:

o   Booking modifications and logistical support

o   Local liaison with providers

o   Problem-solving and itinerary adjustments

·       Disruption Assistance: Support in the event of provider-side disruptions (strikes, cancellations, overbookings, etc.)

·       Pre-Trip Guidance: Preparation materials, packing lists, practical tips, and answers to your questions before departure

1.2 Lead Procurement Agent Model

The Concierge operates under a Disbursement Mandate structure where:

·       You appoint Chic Trip as your lead procurement agent and coordinator

·       Chic Trip acts exclusively in your interest to source the best available rates

·       Chic Trip does not "sell" travel services; we facilitate your purchase directly with providers

·       All funds you transfer to Chic Trip are held in trust and used exclusively to pay third-party providers

·       You are the direct customer of hotels, restaurants, and service providers—not a customer of Chic Trip


2. DISBURSEMENT MANDATE & ZERO MARKUP GUARANTEE

2.1 What Is a Disbursement Mandate?

A Disbursement Mandate authorizes Chic Trip to:

·       Receive funds from you for the purpose of booking travel services

·       Hold those funds in a trust account (segregated from Chic Trip's operating accounts)

·       Disburse funds directly to hotels, restaurants, airlines, and other service providers on your behalf

·       Provide full accounting and transparency of all transactions

This model ensures absolute transparency and zero markup on all travel costs.

2.2 Transit of Funds

Any funds sent by you to Chic Trip specifically for third-party bookings (hotels, train tickets, restaurant reservations, activities) are treated as "disbursements":

·       These funds do not constitute revenue for Chic Trip

·       Funds are held and paid out to vendors on your behalf

·       Chic Trip maintains segregated trust accounts separate from operating accounts

·       All disbursements are documented and auditable

2.3 Financial Transparency

Chic Trip provides you with:

·       Original merchant receipts or invoices for all third-party expenditures

·       Detailed booking confirmations with provider contact information

·       Complete accounting of all disbursements

·       Proof of payment for every service booked

The amount requested from you will strictly match the provider's net price at the time of booking. No hidden fees or markups are added.

2.4 No Funding Advance Required

Chic Trip is not required to confirm or pay for any third-party service until:

·       You have provided the necessary funds via your authorized payment method, OR

·       A valid credit card authorization has been approved for the full booking amount

If funds are insufficient or payment authorization fails, bookings will not be executed.

2.5 Zero Markup Commitment

Chic Trip guarantees that all third-party services are procured at net provider rates with ZERO markup added:

·       Hotel rates are charged at the provider's net daily rate

·       Restaurant reservations are at standard menu prices

·       Transportation tickets are at published carrier rates

·       Activities and attractions are at venue pricing

You will always pay the exact same amount whether you book directly with the provider or through Chic Trip's procurement agent services.


3. PRICING & FINANCIAL TERMS

3.1 Chic Trip Professional Service Fee

·       Standard Price: $1,224.00 USD (one-time comprehensive service fee, all-inclusive)

·       Launch Promotional Price: $857.00 USD (one-time service fee, subject to availability)

What This Fee Covers:

·       Research and market analysis for optimal recommendations

·       Custom itinerary creation and personalization

·       Booking management and procurement coordination

·       App access for 12 months

·       Business hours support and logistical assistance

·       Pre-trip guidance and preparation materials

This fee represents the only revenue Chic Trip retains from your transaction.

3.2 Third-Party Service Costs (Pass-Through Only)

You are responsible for the actual cost of all booked services:

·       Accommodations: Full hotel rates as quoted by the property (no markup)

·       Dining: Restaurant prices as charged by establishments (no markup)

·       Transportation: Train, flight, and transfer bookings at published carrier rates (no markup)

·       Activities & Attractions: Ticket prices as set by venues (no markup)

·       Ancillary Charges: Tips, gratuities, parking fees, hotel incidentals, service charges

These costs are disbursed directly to providers and billed separately from the Chic Trip professional fee.

3.3 Affiliate Commission Disclosure & Transparency

Chic Trip reserves the right to receive referral commissions from vendors or booking platforms when bookings are made through our procurement channels. These commissions:

·       Are paid exclusively by the vendors to Chic Trip

·       DO NOT increase the price you pay - you receive the same net rate

·       Are separately disclosed in your booking documentation

·       Represent a standard business practice in the travel industry

Important: You acknowledge that these commissions are paid by the vendors and do not increase the price paid by you. Your service fee remains fixed at $1,224.00 (or $857.00 promotional rate) regardless of affiliate commissions earned.

4. SERVICE DELIVERY & BOOKING PROCESS

4.1 Planning & Approval Timeline

Week 1 - Initial Consultation:

·       You complete an in-depth travel profile questionnaire covering preferences, budget, dietary restrictions, interests, and travel style

·       Chic Trip conducts intake call (optional but recommended) to clarify preferences and discuss vision

Week 2 - Research & Proposal:

·       Chic Trip conducts market research and sources optimal options

·       You receive detailed booking proposals with net rates and itemized costs

·       You review and provide feedback on recommendations

Week 3 - Refinement & Confirmation:

·       Chic Trip adjusts recommendations based on your feedback

·       Final itinerary and bookings are approved

·       You authorize all charges and confirm funding is available

Week 4 - Booking Execution:

·       Upon your written approval and payment authorization, Chic Trip executes all bookings

·       You receive booking confirmations for each service

·       Funds are disbursed to providers within 2-3 business days

·       Chic Trip app is activated with your complete itinerary

4.2 Your Approval Authority

·       You must explicitly approve all bookings before Chic Trip executes them

·       Approval constitutes your authorization to charge your payment method

·       Once approved and executed, bookings are subject to individual provider cancellation policies

·       Any changes after execution are subject to provider modification terms and potential fees

4.3 Booking Confirmations & Documentation

After each booking is executed, you will receive:

·       Email confirmation with booking reference numbers and provider contact details

·       Itemized receipt showing net rate charged

·       Terms and conditions specific to each booking

·       Emergency contact numbers for all providers

·       Copy stored securely in your Chic Trip app

4.4 Digital Access & Materials

·       App Access: Activated upon itinerary finalization; 12-month access from activation date

·       Content: Your complete itinerary, maps, booking confirmations, logistics information, provider directories

·       Device Sync: Access across multiple personal devices

·       Personal Use: Strictly for your individual trip planning and execution


5. PAYMENT & DISBURSEMENT

5.1 Payment Authorization & Structure

Professional Service Fee:

·       Payment method: Credit card via Stripe (Visa, Mastercard, American Express)

·       Amount: $1,224.00 USD (or $857.00 promotional rate)

·       Timing: Due at time of booking The Concierge

·       Processing: Service delivery begins within 24 hours

Third-Party Service Payments:

·       You authorize Chic Trip to charge your payment method for all approved bookings

·       Funds are held in a segregated trust account pending disbursement to providers

·       Disbursement occurs within 2-3 business days of booking confirmation

·       You may alternatively provide direct payment links from providers if preferred

5.2 Payment Methods & Currency

·       Currency: USD for Chic Trip professional fee; Local currency per provider (EUR, USD, etc.)

·       Payment Processing: Stripe-secured payment gateway with PCI compliance

·       Card Information: Stripe processes all payments; Chic Trip does not store full card details

·       Backup Authorization: We retain authorization to charge for confirmed bookings per your explicit approval

5.3 Foreign Transaction Fees

You are solely responsible for any foreign transaction fees or currency conversion charges applied by your banking institution. Chic Trip is not responsible for these costs.

5.4 Funding Requirement for Booking Execution

Chic Trip is not obligated to execute any booking until:

·       The required funds have been provided by you via authorized payment method, OR

·       A valid credit card authorization has been approved for the full booking amount

If funds are insufficient or payment authorization fails, bookings will not be executed until payment is received.


6. OPERATIONAL SUPPORT & AVAILABILITY

6.1 Support Availability During Your Trip

Business Hours Support:

·       Hours: 9:00 AM – 6:00 PM CET, Monday-Friday (standard French business hours)

·       Channels: Email, WhatsApp, phone

·       Response Time: Within 2 hours during business hours

·       Services: Booking modifications, logistical questions, provider liaison, itinerary adjustments, problem-solving

After Hours & Emergency Support:

·       Emergency contact available for critical issues (security concerns, medical emergencies, transportation failures)

·       Non-emergency inquiries addressed when business hours resume

·       Response to emergency communications within 30 minutes

6.2 Scope of Support

Dedicated concierge support includes:

·       Handling booking modifications and itinerary adjustments

·       Local liaison with providers for special requests

·       Assistance in the event of provider-side disruptions (strikes, cancellations, overbookings)

·       Coordination with vendors for special accommodations

·       Real-time problem-solving during your trip

6.3 Support Limitations

While Chic Trip prioritizes your experience, The Concierge is an administrative and planning service that does NOT include:

·       24/7 on-site physical security or bodyguard services

·       Medical emergency services or healthcare coordination

·       Financial compensation for provider service failures

·       Replacement of services at no additional cost

·       Guarantees of specific outcomes or experiences


7. CANCELLATION, REFUNDS & LIABILITY

7.1 Chic Trip Professional Fee - Non-Refundable

The Chic Trip professional fee is non-refundable once the personalized planning and booking phase has commenced.

Refunds are not available for:

·       Change of mind or trip cancellation by you

·       Dissatisfaction with itinerary or recommendations

·       Changes to your travel dates or plans

·       Personal circumstances or emergencies

·       Your decision not to travel

7.2 Third-Party Service Refunds & Cancellations

Any refunds for hotels, restaurants, or activities are governed by the specific terms of those providers. Chic Trip will assist you in securing entitled refunds during business hours.

Because Chic Trip acts as a facilitator for disbursements, we cannot refund funds already paid to providers. Each vendor has independent cancellation and refund policies:

·       Your Responsibility: Direct disputes or refund requests with providers

·       Chic Trip's Role: We assist with communication and rebooking coordination

·       Non-Refundable Bookings: Many establishments have non-refundable rates

·       Cancellation Policies: You are bound by each vendor's stated terms

We strongly recommend purchasing comprehensive trip cancellation insurance to protect against your own cancellations or emergencies.

7.3 Provider Performance & Service Quality

As a procurement agent, Chic Trip is responsible for the professional execution of the booking mandate. However, Chic Trip is NOT liable for the actual performance, quality, or safety of services provided by third-party vendors:

·       Quality, cleanliness, service standards, or amenities of hotels

·       Food quality, service standards, or cuisine of restaurants

·       Service professionalism or performance of tour guides or activity providers

·       Airline delays, cancellations, overbooking, or lost baggage

·       Attraction closures, restricted access, or operational changes

·       Transportation delays, accidents, or service failures

·       Any disputes or conflicts between you and any provider

Your recourse is directly with the service provider, not Chic Trip.

7.4 Limitation of Liability

In no event shall Chic Trip's total liability exceed the amount of the professional fee you paid ($1,224.00 USD or $857.00 USD as applicable).

Chic Trip shall NOT be liable for:

·       Indirect, incidental, consequential, special, or punitive damages

·       Lost revenue, travel expenses, or missed experiences

·       Emotional distress or reputational harm

·       Costs related to trip cancellations or service failures

·       Third-party claims or disputes with providers

·       Force majeure events (pandemics, natural disasters, political instability, terrorism, war)

7.5 Travel Insurance Requirement

You are strongly encouraged to purchase comprehensive travel insurance covering:

·       Trip cancellation and interruption

·       Medical and emergency evacuation

·       Personal liability and property damage

·       Baggage loss, theft, and delay

·       Travel delay and missed connections

·       Emergency assistance and repatriation

Travel insurance is your protection against financial loss from provider failures or personal emergencies. Chic Trip provides procurement coordination services only.


8. INTELLECTUAL PROPERTY & USAGE RIGHTS

8.1 Our Content Ownership

All content provided through The Concierge—including the itinerary, curated recommendations, maps, guides, photography, descriptions, and proprietary travel planning methodology—is the exclusive intellectual property of Chic Trip and protected under international copyright laws.

8.2 Your License Grant

You receive a limited, personal, non-transferable, non-exclusive license to:

·       Access and view your itinerary for personal trip planning purposes

·       Download and store one personal copy on your device

·       Use the information to enjoy and plan your trip

·       Share your itinerary with immediate travel companions on the same trip only

·       Access the Chic Trip app for your trip logistics and planning

8.3 Strict Prohibitions

You explicitly agree NOT to:

·       Reproduce, copy, or duplicate the itinerary (in whole or part)

·       Share, distribute, resell, or republish the content to other individuals or groups

·       Post the itinerary or content on social media, blogs, forums, or websites

·       Use the content for commercial purposes or competitive analysis

·       Create derivative works or modified versions of the itinerary

·       Provide the content to travel agencies, tour operators, or competitors

·       Share access to the Chic Trip app with other users or accounts

·       Reverse engineer or attempt to extract Chic Trip's proprietary planning methodology

·       Use The Concierge content to plan trips for other people commercially

8.4 Consequences of Violation

Unauthorized use or distribution of The Concierge content will result in:

·       Immediate suspension of your app access

·       Legal action to enforce intellectual property rights

·       Potential damages and injunctive relief

·       Reporting to relevant platforms for copyright violation


9. CLIENT RESPONSIBILITIES & ACKNOWLEDGMENTS

9.1 Your Responsibilities

You acknowledge and accept that:

·       You will provide accurate information in your travel profile and booking preferences

·       You will review and approve all itineraries and bookings before Chic Trip executes them

·       You will honor all approved bookings and comply with provider cancellation policies

·       You will arrange appropriate travel insurance covering all trip contingencies

·       You will verify visa, passport, and entry requirements for France

·       You will maintain copies of all confirmations and receipts

·       You will respect local laws, customs, and cultural norms during travel

·       You will immediately notify Chic Trip of any booking errors or issues

·       You will not hold Chic Trip liable for your decisions or actions

9.2 Communication & Responsiveness

·       Chic Trip may need to reach you for approval or changes during planning

·       You commit to responding to requests within 48 hours

·       Delays in your response may impact planning timelines

·       Final itinerary and bookings are locked once confirmed—changes after confirmation are subject to provider policies

9.3 Payment Authorization

By using The Concierge service, you authorize Chic Trip to:

·       Charge your approved payment method for the Chic Trip professional fee

·       Charge your payment method for all approved third-party services

·       Process payments securely via Stripe or direct provider gateways

·       Initiate refunds or credits to your original payment method if applicable


10. DATA PROTECTION & PRIVACY (GDPR)

10.1 Personal Data Collection

Chic Trip collects and processes the following personal data:

·       Name, email address, phone number

·       Travel profile information (preferences, budget, dietary restrictions, interests, companions)

·       Payment information (processed via Stripe; NOT stored by Chic Trip)

·       Booking and reservation details

·       App usage data and technical logs

·       Communication records

10.2 Legal Basis for Processing

Your data is processed for:

·       Contract Performance: Providing The Concierge service, managing bookings, and coordinating with providers

·       Explicit Consent: Marketing communications and service improvements

·       Legal Compliance: Tax, accounting, and regulatory obligations

·       Legitimate Interest: Service improvement and fraud prevention

10.3 Data Retention

Personal data will be retained for:

·       During Service Period: Throughout booking execution and 12-month app access duration

·       After Expiration: 3 years for tax and legal compliance requirements

·       App Logs: Automatically deleted after 12 months of inactivity

·       Marketing Communications: Until you unsubscribe

10.4 Data Sharing

Your data will NOT be sold or shared with third parties except:

·       Payment Processing: Stripe (PCI-compliant payment processor)

·       Cloud Infrastructure: Supabase (database provider with EU data centers)

·       Booking Coordination: Hotels, restaurants, and activity providers (only as necessary to execute your bookings)

·       Legal Compliance: Tax authorities and law enforcement (if required by law)

·       Dispute Resolution: Legal counsel or courts (if litigation occurs)

All third-party providers have signed Data Processing Agreements (DPA) complying with GDPR Article 28.

10.5 Your GDPR Rights

You have the right to:

·       Access: Obtain a copy of your personal data

·       Rectification: Correct inaccurate information

·       Erasure: Request deletion of your data

·       Portability: Receive your data in standard format

·       Objection: Refuse marketing communications

11. MODIFICATIONS & SERVICE CHANGES

Chic Trip reserves the right to:

·       Modify or discontinue The Concierge package with 30 days' notice

·       Update the app interface and features at any time

·       Change pricing for future purchases

·       Substitute provider recommendations if originals become unavailable

·       Temporarily suspend services for maintenance

·       Refuse service to users who violate these terms

Your continued use of services after notification constitutes acceptance of modifications.


12. GOVERNING LAW & JURISDICTION

12.1 Applicable Law

These Terms are governed by French law and the laws of the European Union, independent of your location.

12.2 Jurisdiction

·       For French/EU Residents: You agree to submit to the exclusive jurisdiction of the courts of Paris, France

·       For International Clients: You agree to submit to the jurisdiction of Paris courts for dispute resolution

·       Consumer Protection: EU consumers retain rights under their country of residence's consumer protection laws

12.3 Language

These Terms are provided in English. Any translation is for convenience only; English version controls.


13. DISPUTE RESOLUTION

13.1 Informal Resolution (30 Days)

Before initiating any formal proceedings, the parties agree to attempt resolution through good-faith negotiation for at least 30 days.

If informal negotiation fails, parties agree to submit to non-binding mediation with a mutually agreed mediator before pursuing litigation.

13.3 Arbitration

Any dispute not resolved through mediation shall be submitted to binding arbitration administered by the European Centre of Arbitration (Strasbourg), with:

·       Seat of Arbitration: Paris, France

·       Language: English

·       Applicable Law: French law

·       Arbitration Rules: European Court of Arbitration Rules in force at time of filing

13.4 Class Action Waiver

You agree that any arbitration shall be limited to disputes between you and Chic Trip individually. Class action proceedings are not permitted.

15. FINAL PROVISIONS

15.1 Entire Agreement

These Terms constitute the complete agreement between you and Chic Trip regarding The Concierge. Any prior discussions, representations, or agreements are superseded by these Terms.

15.2 Amendment

Chic Trip may modify these Terms at any time. Modifications are effective upon email notification. Your continued use of services after notification indicates acceptance.

15.3 Severability

If any provision is found unenforceable, that provision is severed while all other provisions remain in full effect.

15.4 No Waiver

Failure to enforce any right under these Terms does not constitute a waiver of that right.

15.5 Non-Agency Relationship

No partnership, joint venture, employment, or agency relationship exists between you and Chic Trip beyond the procurement agent appointment specified in these Terms.

15.6 Electronic Communications

You consent to receive all legal notices, disclosures, and communications via email. Electronic communications satisfy all written notice requirements.


16. ITINERARY ACCESS DURATION

The digital itinerary (or itineraries) provided as part of this package shall remain accessible to the Client via the Chic Trip platform (chic-trip.com) for a period of eighteen (18) months from the date of payment confirmation.

After this 18-month period, access to the itinerary may be deactivated without prior notice. The Client is encouraged to download or export their itinerary in PDF format before the expiration of this access period.

This access duration applies to the digital consultation of the itinerary only and does not affect any PDF documents previously downloaded by the Client.


17. ACKNOWLEDGMENT & ACCEPTANCE

BY COMPLETING YOUR PURCHASE OF THE CONCIERGE, YOU ACKNOWLEDGE:

·       You have read and fully understand these Terms

·       You understand The Concierge operates as a lead procurement agent service with Disbursement Mandate

·       You understand Chic Trip acts as your primary coordinator and booking agent

·       You understand the professional fee is non-refundable after planning has commenced

·       You understand all third-party costs are billed at net provider rates with zero markup

·       You understand third-party cancellation policies apply to all bookings

·       You will obtain adequate travel insurance for trip cancellation protection

·       You assume responsibility for approving all bookings before execution

·       You understand Chic Trip is not liable for provider performance or travel incidents

·       You accept all limitations of liability stated herein

·       You understand support is available during business hours only

·       You consent to Chic Trip charging your payment method for all approved services

Your purchase constitutes legal acceptance of all terms stated above.
